These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Ta3leem Company (شركة تعليم), a company duly registered under the laws of the Republic of Iraq, having its principal place of business at Baghdad, Saydia, Khayzaran St., Republic of Iraq (“Ta3leem,” “we,” “us,” or “our”), governing your access to and use of the Ta3leem online learning platform, including our website, mobile applications, application programming interfaces, course content, and all related services (collectively, the “Platform”).

These Terms are entered into in accordance with the Iraqi Civil Code No. 40 of 1951, the Electronic Signature and Electronic Transactions Law No. 78 of 2012, the Consumer Protection Law No. 1 of 2010, the Iraqi Commercial Code, the Copyright and Related Rights Law No. 3 of 1971 (as amended), and all other applicable laws and regulations of the Republic of Iraq.

By accessing, browsing, registering for, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. In accordance with Article 13 of the Electronic Signature and Electronic Transactions Law No. 78 of 2012, you acknowledge that your electronic acceptance of these Terms shall have the same legal effect as a handwritten signature. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

  • “Account” means a registered user account on the Platform.
  • “Content” means all text, images, audio, video, course materials, quizzes, assignments, software, code, data, and other materials made available through the Platform.
  • “Course” means any educational offering, including individual courses, bundles, webinars, live classes, recorded lessons, and any related learning materials.
  • “Instructor” means any User authorized by Ta3leem to publish and sell Courses through the Platform.
  • “Learner” means any User who enrolls in or accesses Courses for educational purposes.
  • “User-Generated Content” means any Content uploaded, submitted, posted, or otherwise made available by a User through the Platform.

2. Eligibility

In accordance with Article 106 of the Iraqi Civil Code No. 40 of 1951, you must be at least eighteen (18) years of age and of sound legal capacity to register for an Account and enter into these Terms. Minors below this age may only use the Platform under the prior consent, supervision, and contractual responsibility of a parent or legal guardian who agrees to be bound by these Terms on the minor’s behalf. By using the Platform, you represent and warrant that:

  • You possess the full legal capacity required under Iraqi law to enter into a binding agreement.
  • You are not prohibited from receiving services under the laws of the Republic of Iraq or any other applicable jurisdiction.
  • You are not subject to any international sanctions, embargo, or restriction recognized by the Republic of Iraq, and you are not listed on any official prohibited or restricted parties list.
  • The information you provide during registration is true, accurate, and complete.

3. Account Registration and Security

To access certain features of the Platform, you must create an Account by providing accurate, current, and complete information. You agree to:

  • Maintain the accuracy of your Account information and update it promptly as needed.
  • Maintain the security and confidentiality of your login credentials and not share them with any third party.
  • Immediately notify Ta3leem of any unauthorized use of your Account or any other breach of security.
  • Accept full responsibility for all activities that occur under your Account, regardless of whether you authorized them.

We reserve the right to refuse registration, suspend, or terminate Accounts at our sole discretion, including where information provided is incorrect, misleading, or where we believe the Account is being used in violation of these Terms or applicable law.

4. License to Use the Platform

Subject to your compliance with these Terms and payment of all applicable fees, Ta3leem grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and the Courses you have enrolled in solely for your personal, non-commercial educational use. All rights not expressly granted are reserved by Ta3leem and its licensors.

5. Course Enrollment, Payments, and Refunds

5.1 Pricing and Payment

Course prices, subscription fees, registration packages, and any other charges are displayed on the Platform at the time of purchase and may be modified at our discretion, provided that any change will not affect transactions already completed. All prices are stated in Iraqi Dinar (IQD) unless otherwise specified on the Platform, and may exclude applicable taxes, duties, or governmental fees imposed under Iraqi law (including, where applicable, obligations under the Income Tax Law No. 113 of 1982 and any indirect-tax or customs regulations in force from time to time), which will be added at checkout where legally required.

5.2 Payment Processing

Payments are processed through third-party payment gateways, including but not limited to Stripe, PayPal, Razorpay, PayTabs, Paymob, Mollie, and Authorize.Net. By making a payment, you authorize Ta3leem and its payment processors to charge the payment method you provide. You represent and warrant that you are authorized to use the payment method you select.

5.3 Subscriptions and Auto-Renewal

If you purchase a subscription, your subscription will automatically renew at the end of each billing period at the then-current rate unless cancelled prior to renewal. You may cancel auto-renewal at any time through your Account settings, in which case access will continue until the end of the then-current billing period and will not be extended thereafter.

5.4 Refund Policy

Refund eligibility is governed by our published refund policy and, where applicable, the Consumer Protection Law No. 1 of 2010 of the Republic of Iraq. A refund request may be submitted within fourteen (14) days from the date of purchase, provided that you have not consumed more than twenty-five percent (25%) of the Course content, downloaded restricted materials, or received a certificate of completion. Subscription fees, registration packages, and live-session fees are non-refundable once the service has commenced, except where a defect in service is established or where a refund is required by the Consumer Protection Law No. 1 of 2010. Ta3leem reserves the right to deny refunds in cases of suspected abuse, fraud, or violation of these Terms.

5.5 Chargebacks

If you initiate a chargeback or payment dispute without first contacting our support team to resolve the issue, we reserve the right to suspend or terminate your Account and revoke access to any Courses purchased.

6. Instructor Terms

If you register as an Instructor, the following additional terms apply:

  • You grant Ta3leem a worldwide, non-exclusive, royalty-bearing license to host, store, reproduce, modify, distribute, publicly perform, publicly display, and transmit your Courses for the purpose of operating, promoting, and improving the Platform.
  • You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to publish your Courses and that your Content does not infringe any third-party rights.
  • You are solely responsible for the accuracy, quality, legality, and educational value of your Courses.
  • Revenue share, payout schedules, minimum payout thresholds, taxes, and applicable fees are governed by the Instructor Agreement and as published on the Platform.
  • You agree to comply with all applicable tax laws and to provide accurate tax-related information requested by Ta3leem.
  • Ta3leem reserves the right to review, edit, reject, or remove any Course for any reason, including violation of these Terms, quality concerns, or legal requirements.

7. Intellectual Property Rights

7.1 Platform IP

The Platform and all Content provided by Ta3leem, including software, design, text, graphics, logos, trademarks, service marks, audio, video, and the selection and arrangement thereof, are owned by Ta3leem or its licensors and are protected under the Iraqi Copyright and Related Rights Law No. 3 of 1971 (as amended), the Trademark and Geographic Indications Law No. 21 of 1957 (as amended), and all other applicable intellectual property laws of the Republic of Iraq and relevant international treaties to which Iraq is a party. Nothing in these Terms transfers ownership of any intellectual property rights to you.

7.2 User-Generated Content

You retain ownership of any User-Generated Content you submit. By submitting User-Generated Content, you grant Ta3leem a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works from such Content for the purposes of operating, promoting, and improving the Platform. You waive any moral rights to the extent permitted by applicable law.

7.3 Copyright Complaints

Ta3leem respects the intellectual property rights of others, in accordance with the Copyright and Related Rights Law No. 3 of 1971. If you believe that any Content on the Platform infringes your rights, please submit a written notice to [email protected] including:

  • A description of the protected work claimed to have been infringed.
  • The precise location on the Platform where the allegedly infringing material is found.
  • Your full name, address, and contact information.
  • A statement of your good-faith belief that the use is not authorized by the rights holder, its agent, or the law.
  • A sworn statement that the information provided is accurate and that you are the rights holder or duly authorized to act on the rights holder’s behalf.
  • Your physical or electronic signature.

Submitting false claims may give rise to civil and criminal liability under the laws of the Republic of Iraq.

8. Acceptable Use and Prohibited Conduct

You agree not to, and not to permit any third party to:

  • Use the Platform for any unlawful, fraudulent, harmful, or unauthorized purpose.
  • Copy, download, record, screen-capture, redistribute, resell, publish, or sublicense any Course content except as expressly authorized.
  • Share your Account credentials or allow any third party to access the Platform through your Account.
  • Upload or transmit any Content that is defamatory, obscene, pornographic, harassing, threatening, discriminatory, hateful, violent, infringing, or otherwise objectionable.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use any robot, spider, scraper, crawler, or other automated means to access, copy, or extract data from the Platform without our prior written consent.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform or any portion thereof, except to the extent permitted by applicable law.
  • Interfere with or disrupt the security, integrity, or performance of the Platform, including by introducing viruses, malware, or other malicious code.
  • Attempt to gain unauthorized access to any part of the Platform, other Accounts, or systems connected to the Platform.
  • Use the Platform to send unsolicited communications, advertisements, or promotional materials.
  • Cheat on quizzes, fabricate assignments, or otherwise engage in academic dishonesty.
  • Engage in any activity that violates the laws of the Republic of Iraq, including without limitation the Iraqi Penal Code No. 111 of 1969, public order, or public morals.

9. Suspension and Termination

We may suspend, restrict, or terminate your Account and access to the Platform at any time, with or without notice and with or without cause, including where we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or where required by applicable law. Upon termination:

  • Your right to access and use the Platform will immediately cease.
  • You will not be entitled to a refund of any fees paid except as required by law.
  • Any Content you have submitted may be retained, archived, or deleted at our discretion, subject to our Privacy Policy and legal obligations.
  • The provisions of these Terms that, by their nature, should survive termination will continue in full force and effect.

You may close your Account at any time by contacting our support team or using the account-deletion option in your Account settings, where available.

10. Disclaimers

To the maximum extent permitted by applicable law, the Platform and all Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, or that the Platform will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

Ta3leem does not warrant the accuracy, completeness, suitability, or quality of any Course or Content and does not endorse any Instructor or User-Generated Content. The Platform is intended for educational and informational purposes only and is not a substitute for professional advice, accredited education, or formal certification. You assume sole responsibility for any decisions or actions you take based on the Content.

11. Limitation of Liability

To the maximum extent permitted under the laws of the Republic of Iraq, including the Iraqi Civil Code No. 40 of 1951, Ta3leem, its affiliates, officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, consequential, or non-foreseeable damages, including without limitation loss of profits, revenue, goodwill, data, business opportunities, or other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use, the Platform, regardless of the cause of action and even if Ta3leem has been advised of the possibility of such damages.

In any event, the aggregate liability of Ta3leem and its affiliates arising out of or relating to these Terms or the Platform shall not exceed the total amount paid by you to Ta3leem in the twelve (12) months immediately preceding the event giving rise to liability.

Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under mandatory provisions of Iraqi law, including liability arising from gross negligence, willful misconduct, or fraud.

12. Indemnification

You agree to defend, indemnify, and hold harmless Ta3leem, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your access to or use of the Platform.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights.
  • Your User-Generated Content.
  • Your violation of any applicable law or regulation.

13. Third-Party Services

The Platform may integrate with or contain links to third-party services, including payment processors, video hosting providers (such as Bunny.net), cloud storage providers, social media platforms, and analytics tools. Ta3leem does not control and is not responsible for the content, policies, or practices of such third-party services. Your use of any third-party service is governed solely by the terms and policies of that third party.

14. Modifications to the Platform and Terms

We reserve the right, at our sole discretion, to modify, suspend, or discontinue all or any portion of the Platform at any time, with or without notice. We may also amend these Terms from time to time. When we make material changes, we will provide notice by posting the revised Terms on the Platform, updating the “Last Updated” date above, and, where appropriate, by additional means such as an in-application notification or email. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform.

15. Governing Law and Dispute Resolution

These Terms and any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the relationship between you and Ta3leem shall be governed by and construed in accordance with the laws of the Republic of Iraq, including the Iraqi Civil Code No. 40 of 1951, the Iraqi Commercial Code, the Consumer Protection Law No. 1 of 2010, and the Electronic Signature and Electronic Transactions Law No. 78 of 2012, without regard to any conflict-of-laws principles.

Disputes shall be resolved as follows:

  • Amicable Resolution: The parties shall first attempt in good faith to resolve any dispute through direct and amicable negotiation by submitting a written notice to [email protected].
  • Mediation: If the dispute is not resolved through negotiation within sixty (60) days, the parties may, by mutual agreement, refer the dispute to mediation under the auspices of a recognized mediation body in Iraq.
  • Judicial Forum: Failing amicable settlement or mediation, the dispute shall be referred to the exclusive jurisdiction of the competent Iraqi courts, with the Court of First Instance in Baghdad / Al-Karkh as the court of primary venue, with right of appeal to the Iraqi Court of Cassation, in accordance with the Iraqi Code of Civil Procedure No. 83 of 1969.
  • Arbitration (Optional): The parties may, by separate written agreement, refer any dispute to arbitration in accordance with Articles 251 to 276 of the Iraqi Code of Civil Procedure. The seat of arbitration shall be Baghdad, the language of arbitration shall be Arabic, and the substantive law shall be the law of the Republic of Iraq.
  • Individual Basis: To the maximum extent permitted by Iraqi law, you agree that any dispute will be resolved on an individual basis and not as part of any collective or representative action.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Ta3leem regarding the Platform and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver: Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.
  • Force Majeure: Ta3leem will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, fire, floods, accidents, strikes, telecommunications failures, or governmental actions.
  • Notices: We may provide notices to you by email, by posting on the Platform, or by other reasonable means. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
  • Headings: Headings are for convenience only and do not affect the interpretation of these Terms.
  • Language: These Terms are issued in Arabic and English. In the event of any conflict, ambiguity, or inconsistency between the two versions, the Arabic version shall prevail and shall govern the interpretation of these Terms before any Iraqi judicial or administrative authority.
